LPA Administrative Scrivener
Corporation
Foreign investors acquiring or establishing a business in Japan may be required to complete a filing under Japan’s Foreign Exchange and Foreign Trade Act (“FEFTA”).
In particular, if the Japanese company operates in certain regulated or sensitive business sectors, the foreign investor may need to submit a prior notification before making the investment and wait for the authorities’ review before proceeding. In other cases, the investment may only need to be reported after completion.
The applicable procedure depends mainly on the identity of the investor, the type of investment and the business activities carried out by the Japanese company.
LPA Administrative Scrivener Corporation assists foreign investors in determining which FEFTA procedure applies and handles the preparation and filing of the required notification or report through the Bank of Japan.

FEFTA FILING ROUTES
PRIOR NOTIFICATION
(事前届出)
Certain investments must be notified before completion, particularly where the Japanese company operates in a designated business sector.
The investment can only proceed after the applicable FEFTA review period has expired or been shortened.
POST-INVESTMENT REPORT
(事後報告)
Where prior notification is not required, the investment may instead need to be reported after completion.
This commonly applies to investments in Japanese companies whose activities do not fall within designated sectors.
EXEMPTION AND FILING ANALYSIS
(事前届出免除制度)
Some investments may qualify for an exemption from prior notification, while others may not require any filing.
We review the investor, transaction structure and business activities to determine the applicable FEFTA procedure.
DESIGNATED AND CORE BUSINESS SECTORS
Whether a Japanese company conducts a designated business is one of the principal issues to be reviewed when determining whether prior notification is required.
DESIGNATED BUSINESS SECTORS (指定業種)
Designated business sectors are activities identified under FEFTA as potentially relevant to national security, public order, public safety or the smooth operation of the Japanese economy.
They cover a broad range of activities and should be assessed by reference to the specific business actually conducted or planned, rather than solely by reference to the wording of the company’s articles of incorporation.
CORE BUSINESS SECTORS (コア業種)
Certain designated business sectors are classified as core business sectors because of their particular importance to national security and critical infrastructure.
Depending on the precise activities concerned, core sectors may include areas such as defence, aerospace, nuclear activities, dual-use technologies, cybersecurity, semiconductors, batteries, critical minerals, advanced manufacturing and certain healthcare-related activities.
Certain activities within electricity, gas, telecommunications, water supply, railways and petroleum may also be treated as core businesses.
The classification depends on the specific products, services and activities of the Japanese company. A company operating in a broader designated sector is therefore not necessarily engaged in a core business.
APPLICATION PROCESS
FEFTA should be considered at an early stage of an investment or incorporation project, particularly where prior notification could affect the contemplated incorporation or closing date.
①
INVESTOR AND TRANSACTION REVIEW
We review the identity and ownership structure of the foreign investor, its nationality or place of establishment, the proposed Japanese investment structure, the shares or voting rights to be acquired and the contemplated transaction date.
➁
BUSINESS AND SECTOR CLASSIFICATION
We review the actual and planned activities of the Japanese company and, where relevant, its subsidiaries and related entities, and identify the applicable Japanese industry classifications, designated sectors and core sectors.
We then determine whether the contemplated investment is subject to prior notification, may qualify for an exemption, requires only a post-investment report or falls outside the relevant filing requirements.
③
DOCUMENT PREPARATION
We prepare the applicable FEFTA notification or report based on the investor structure, transaction terms, business activities and investment schedule.
Where clarification of a business classification is required, we may also coordinate with the competent ministry or other relevant authority.
④
FILING AND AUTHORITY REVIEW
We submit the notification or report through the Bank of Japan to the Minister of Finance and the competent minister or ministers.
For prior notifications, we monitor the review process, respond to ordinary requests for clarification or supplementary information and confirm when the notified transaction may be implemented.
⑤
INVESTMENT AND FOLLOW-UP
Once the applicable waiting period has expired or been shortened, the notified investment may be implemented within the permitted scope.
Where a post-investment report, implementation report or other subsequent FEFTA filing is required, we can assist with the corresponding procedure.
Changes to the investment structure, shareholding, voting rights, directors, business purpose or actual business activities may also require a new FEFTA assessment.

Our standard fees for FEFTA filing support are set out below. We will confirm the applicable procedure and scope after reviewing the proposed investor, investment structure and business activities.
